Terms of Service

1. Acceptance of These Terms
These Terms of Service ("Terms") form a binding agreement between you and GeoEdge AI ("we", "us", "our") governing your access to and use of the GeoEdge AI QGIS plugin, the GeoEdge AI web application, and our associated APIs and services (together, the "Service").
By creating an account, or by otherwise accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to both you and that organisation.
2. Eligibility and Accounts
You must be at least 18 years old to create an account. You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for all activity that occurs under your account.
Notify us promptly at support@geoedge.com.au if you believe your account has been accessed without your authorisation.
Guest sessions are provided without an account, are strictly limited in quota and duration, and may be withdrawn at any time.
3. What the Service Does
GeoEdge AI is an AI assistant for geospatial work. You describe a task in plain language; the Service interprets that request and produces analysis steps, PyQGIS code, and map output.
Generated code runs locally, on your machine, inside your QGIS installation. It can read, create, modify, and delete layers and files that your QGIS session has access to. We apply automated safety validation to generated code on both the server and the plugin, and we require your explicit approval before destructive operations. Those controls reduce risk; they do not eliminate it.
You are responsible for maintaining backups of your projects and data, and for reviewing operations before you approve them.
4. AI Output — No Reliance Without Verification
The Service is powered by large language models. Its output is probabilistic and can be wrong: analysis may be misapplied, coordinate systems misinterpreted, datasets misidentified, statistics miscalculated, and map products may contain errors that are not obvious on inspection.
The Service is a productivity tool, not a source of professional advice, and it is not a substitute for the judgement of a qualified surveyor, planner, engineer, environmental scientist, or other professional.
You must independently verify all output before relying on it — and in particular before using it in a regulatory submission, a development application, a legal proceeding, a safety-critical assessment, a public communication, or any other context where an error carries consequences.
Similar prompts may produce different results. Output is not guaranteed to be reproducible, complete, or free of errors.
5. Your Data and Content
You retain all ownership of the spatial data, projects, files, and prompts you bring to the Service ("Your Content"). We claim no ownership over it.
You grant us a limited licence to process Your Content solely to operate and provide the Service to you — including transmitting the parts of it necessary to fulfil your request to our AI provider. That licence exists for no other purpose and ends when you stop using the Service.
You represent that you have the rights necessary to use Your Content with the Service, and that doing so does not breach any licence, confidentiality obligation, or law that applies to it. You are responsible for not submitting data you are not permitted to disclose.
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.
6. Acceptable Use
You must not:
- Use the Service in breach of any law, or to infringe the intellectual property, privacy, or confidentiality rights of others.
- Attempt to circumvent quota limits, billing, authentication, licence enforcement, or the code-safety validation applied to generated code.
- Reverse engineer, decompile, or attempt to extract the source code, model prompts, or protected components of the Service, except to the extent that restriction is unenforceable under applicable law.
- Share, resell, or sublicense your account or access credentials, or use them to provide the Service to third parties as a bureau service.
- Use automated means to access the Service at a volume or rate that degrades it for others, or to build a competing product from its outputs.
- Upload malicious code, or use the Service to generate code intended to cause harm.
We may suspend or terminate access for conduct that breaches this section, and where the breach is serious we may do so without prior notice.
7. Plans, Usage, and Billing
The Service is offered on a free tier, on paid subscription plans, and on a pay-as-you-go basis. The features, quotas, and prices of each are shown on our pricing page and may change from time to time.
Usage is metered in tokens. Once a plan quota is exhausted, requests are declined until the period resets, you upgrade, or you add pay-as-you-go credit.
Paid subscriptions renew automatically for successive periods until cancelled. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period and you retain access until then. Payments are processed by Stripe and PayPal — your use of those services is subject to their own terms.
Except where a refund is required by law (see section 10), fees already paid are non-refundable, and unused quota does not carry over between periods. Pay-as-you-go credit does not expire while your account is active.
We may change prices with at least 30 days' notice by email. If you do not accept a price change, you may cancel before it takes effect.
8. Intellectual Property
The Service — including the plugin, the web application, the backend, our prompts, model orchestration, knowledge base, and branding — is owned by us and protected by intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service, and nothing more.
As between you and us, you own the map products, code, and analysis the Service generates for you from Your Content, and you may use them for any lawful purpose. We make no claim over them. Note that AI-generated material may not attract copyright protection in every jurisdiction, and that the Service may generate similar output for other users from similar prompts.
Components of the plugin that we distribute under an open-source licence are governed by that licence, which prevails over this section to the extent of any inconsistency.
9. Third-Party Services and Data
The Service integrates third-party components, including Anthropic (AI inference), Stripe and PayPal (payments), and OAuth identity providers. We are not responsible for the availability, accuracy, or conduct of those services.
The Service can load third-party and government spatial datasets and basemaps (including OpenStreetMap tiles). Those datasets carry their own licences, attribution requirements, and accuracy limitations, and we make no representation about their currency or fitness. Complying with the licence attached to any dataset you use remains your responsibility.
10. Warranties and Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. If we supply services to you as a consumer under that law, you have guarantees that cannot be excluded, including that services be supplied with due care and skill.
Subject to that, and to the maximum extent permitted by law, the Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free, that defects will be corrected, or that its output will be accurate, complete, or fit for a particular purpose.
Where we are liable for a failure to comply with a consumer guarantee and that failure does not relate to goods or services of a kind ordinarily acquired for personal or domestic use, our liability is limited, at our option, to resupplying the services or paying the cost of having them resupplied.
11. Limitation of Liability
Subject to section 10, and to the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive loss, or for any loss of profits, revenue, data, goodwill, or anticipated savings, arising out of or in connection with the Service — whether in contract, tort (including negligence), or otherwise, and whether or not we were advised such loss was possible.
Subject to section 10, our total aggregate liability arising out of or in connection with the Service is limited to the greater of (a) the fees you paid us in the twelve months before the event giving rise to the liability, and (b) AUD $100.
We are not liable for loss arising from your reliance on AI output that you did not verify as required by section 4, from data loss where you did not maintain backups, or from operations you approved.
12. Indemnity
You indemnify us against claims, liabilities, losses, and reasonable costs arising from your breach of these Terms, your misuse of the Service, your use of output in breach of section 4, or your submission of content you had no right to submit — except to the extent the claim arises from our own breach or negligence.
13. Availability, Suspension, and Termination
We may modify, suspend, or discontinue any part of the Service. Where a change materially reduces functionality on a paid plan, we will give reasonable notice and, if you cancel as a result, refund the unused portion of your current period.
We may suspend or terminate your account for a material breach of these Terms, for non-payment, or where required by law. Except in cases of serious breach or legal compulsion, we will give you notice and a reasonable chance to remedy the problem.
You may stop using the Service and delete your account at any time. Sections 5, 8, 10, 11, 12, and 15 survive termination.
14. Changes to These Terms
We may update these Terms. Material changes will be notified by email or by a prominent notice in the application at least 14 days before they take effect, and we will ask you to accept the updated Terms the next time you use the Service.
Each version of these Terms carries an effective date, and we record which version you accepted and when. If you do not accept updated Terms, you may cancel your account; continued use after the effective date constitutes acceptance.
15. General
These Terms, together with the Privacy Policy, are the entire agreement between us about the Service. If any provision is found unenforceable, it is severed and the rest continues to apply. Our failure to enforce a provision is not a waiver of it.
You may not assign these Terms without our consent. We may assign them to a successor in connection with a merger, acquisition, or sale of assets.
These Terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of that State and the Commonwealth of Australia.
